Often times, entrepreneurs are so busy getting their companies up and running, that they don’t devote any time to establishing a company structure that will attract investors while also protecting their interests. To keep things moving, they quickly pick a legal entity and corporate structure that they “heard a friend used” or simply “seemed OK.” Later, many find that, while they may have established a legal entity, the way they structured the underlying paperwork is detrimental to their ability to control their own entrepreneurial destiny. Or – that the structure chosen may make their company much less attractive to potential investors! Lindsay Karas Stencel is a partner and the chief legal counsel for NCT Ventures, a venture capital firm located in Columbus, OH. Lindsay is also the managing partner of Lindsay Karas Stencel Law, LLC, a law firm focused on assisting small businesses from formation, to investment, to employee matters, all the way to exit. Additionally, Lindsay is the co-owner of CrossFit Westerville, where she is passionate about helping others improve themselves through fitness. Lindsay lives in New Albany with her husband, Chris, and three dogs, Ogie, Pearl and Matilda.
